About the role
Assistant Company Secretary
Dublin | Permanent | Full-time
Avencia Talent Solutions is partnering with a growing international specialty insurance and reinsurance group to recruit an Assistant Company Secretary.
This is an excellent opportunity to join an established Group Company Secretariat function, taking ownership of subsidiary governance across an international group with regulated entities in Ireland, Bermuda and the UK.
Reporting directly to the Group Company Secretary, you will play an important role in maintaining high standards of corporate governance, supporting seven group companies and taking responsibility for the effective running of subsidiary board and committee processes. You'll have regular exposure to senior stakeholders and the opportunity to contribute to wider governance projects and the ongoing development of the Group's governance framework.
The role is based in Dublin, with potential international travel to London and Bermuda, typically on a quarterly basis.
About the Role
You'll take ownership of the day-to-day company secretarial and governance requirements for a portfolio of group entities, with a particular focus on regulated subsidiaries. This is a varied position combining board governance, statutory compliance, stakeholder management and governance improvement.
What You'll Be Doing
Take ownership of subsidiary board and committee cycles across the Group, including coordinating meeting schedules, preparing agendas, collating papers and managing approvals.
Attend board and committee meetings, producing accurate, detailed and bespoke minutes that capture key discussions, decisions and actions.
Maintain oversight of board actions, approvals and follow-up items, ensuring matters are progressed effectively.
Manage statutory filings, registers and corporate records, ensuring compliance with relevant regulatory and legal requirements.
Support the governance of regulated entities across Ireland, Bermuda and the UK, working closely with directors and senior management.
Build strong working relationships with stakeholders across Finance, HR, Legal, Underwriting and other business areas, as well as external advisers, auditors and registrars.
Support the review and maintenance of governance documentation, policies and procedures, identifying opportunities to improve existing processes and frameworks.
Contribute to wider governance projects and initiatives, providing practical company secretarial support and guidance across the Group.
About You
At least five years' relevant company secretarial experience, ideally gained within a regulated or complex corporate environment.
Degree-level education, alongside Associate membership (ACG) of The Chartered Governance Institute UK & Ireland, or substantial progress towards the qualification.
Strong experience supporting subsidiary boards and committees, including independently managing board processes and producing high-quality, bespoke minutes.
Good understanding of statutory compliance, corporate governance requirements and maintaining accurate statutory records.
Confident engaging with directors, senior executives and a broad range of internal and external stakeholders.
Able to work autonomously, exercise sound judgement and manage competing priorities across multiple entities.
Highly organised, detail-oriented and proactive, with the confidence to take ownership and identify improvements.
Experience within insurance or reinsurance would be advantageous, although candidates from other regulated financial services, legal, funds or corporate services environments will also be considered.
The ideal candidate will bring more than just administrative company secretarial experience, with the ability to manage board governance independently, understand the importance of effective decision-making and contribute to the wider development of a group's governance arrangements.
